We Do What's Right

Script: Tell Me About Yourself (2-Minute Pitch)
"I'm Dang Viet Hung, a Vietnam-qualified legal counsel with twelve years of experience across top-tier private practice and in-house roles. My practice has focused on highly regulated commercial environments — capital markets and asset management in my current role at Dragon Capital, and consumer goods earlier in my career.
The most directly relevant chapter for this role is my time at Colgate-Palmolive Vietnam, where I served as the key in-house legal resource for the Vietnam entity. The work was exactly what this role entails — commercial contracts, marketing and promotions compliance, IP and trademark protection, competition matters, and employment — all in a multinational FMCG environment where the legal team's job is to enable the business to grow, not to slow it down. That experience taught me how legal advice works in a fast-moving consumer goods business, and I've been looking to return to that environment.
In my current role, I've added regulatory advocacy depth, running a regulatory advocacy function through BritCham, VBF, and VBMA, standardizing legal templates across the business, and managing external counsel. The analytical rigour carries across. I'm here because Mondelēz is exactly the kind of brand-driven, commercially serious business where I want to apply that combination of skills — and specifically because the brands you operate in Vietnam, including Kinh Do, are a genuine opportunity to contribute to the local market in a way that matters."
STAR Competency Examples
| Situation | At DCVFM, a business team proposed structuring a distribution arrangement in a way that reduced regulatory disclosures but violated SSC guidelines on fund distribution. |
|---|---|
| Task | Advise clearly against the proposed approach while preserving the relationship and finding a compliant path. |
| Action | Prepared a concise regulatory risk analysis. In the same meeting, proposed two alternative compliant structures that achieved the commercial targets without licensing risk. |
| Result | Management accepted the compliant alternative. The new structure became standard. Lesson: Independent advice is only useful if it comes with a workable path forward. |
| Situation | At DCVFM, core commercial contracts (SPAs, IMAs) were ad-hoc, creating drafting backlogs and inconsistent risk positions. |
|---|---|
| Task | Standardize the core template library to reduce transaction times and harmonize company-wide risk boundaries. |
| Action | Audited 2 years of transactions, built modular templates with position-mapped annotations, and trained business units on standard parameters. |
| Result | Contract turnaround cycles slashed (e.g., from 4 days to 1 day). External legal spend fell significantly. This template foundation later enabled AI review automation. |
| Situation | At Colgate-Palmolive, marketing planned a supermarket gift-with-purchase campaign with a tight, unyielding launch timeline. |
|---|---|
| Task | Review the mechanics for compliance with Decree 81/2018/ND-CP and advertising rules without delaying the launch. |
| Action | Identified that the gift value exceeded the 50% legal cap and lacked mandatory disclosures. Restructured the gift tiering and prepared compliant copy, obtaining regional clearance. |
| Result | The campaign launched on time and compliant. Implemented a pre-submission legal check sheet for marketing to avoid similar issues. |
| Situation | Colgate-Palmolive decided to close a local factory. As sole local legal resource, I had to coordinate the legal shutdown alongside Operations, Finance, and HR. |
|---|---|
| Task | Manage labor restructuring, lease termination, asset transition, and deregistration under a regional matrix. |
| Action | Mapped legal items: Labor Code payouts, lease exit, vendor wind-down. Coordinated cross-departmentally and escalated key items to the regional legal director in Thailand. |
| Result | Closure completed on schedule and without disputes. Built strong competency in cross-functional matrix projects. |
Functional / Technical Questions
Q: Walk me through advising on a BOGO (Buy-One-Get-One) campaign for Oreo.
1. Classification: Identify if it is a price reduction or gift-with-purchase under Decree 81/2018/ND-CP.
2. Notification: Routine BOGOs require notification to the provincial Sở Công Thương at least 5 working days before starting (rather than formal pre-approval registration).
3. Restrictions: Limit duration to 45 consecutive days; discount value cannot exceed 50% of the price before promotion; apply mandatory disclosures on the pack.
Q: How would you approach an exclusive distribution agreement with a new distributor?
1. Competition Law (vertical restraints): Check if Mondelēz has Significant Market Power (SMP, >30% market share) under Law on Competition 2018. Minimum resale price maintenance (RPM) is strictly prohibited.
2. Commercial Safeguards: Incorporate performance KPIs, step-down mechanisms from exclusivity if targets aren't met, and clear IP usage clauses.
Q: How would you handle a counterfeit Oreo product discovered in the market?
1. Evidence Gathering: Purchase sample, document chain of custody, notify global IP team.
2. Action Route: Utilize the **Administrative Route** (Market Management Authority - Cục Quản lý thị trường) for fast seizure and penalties. Register trademarks with Vietnam Customs to prevent imports.
Q: What is the framework for digital advertising and children's advertising in Vietnam?
Digital: Decree 70/2021/ND-CP holds advertisers responsible for ensuring their ads do not violate laws on cross-border platforms (FB, YouTube, TikTok).
Children (<15 years): Advertising must not exploit children's trust, create fear, or pressure parents. Food health claims must strictly match the Ministry of Health registration.
Q: What has changed in the Consumer Protection Law?
Law on Consumer Protection 2023 (Effective July 1, 2024): Imposes strict recall timelines (24 hours for initial freeze), bars online "dark patterns" (misleading opt-outs), and requires separate explicit consent for marketing under Personal Data Protection (PDPL).
